General Terms and Conditions of the Platform
These terms govern access to and use of the ZonaCNC platform by any user, whether visitor, buyer (professional or consumer), or professional seller. Registration and use of the platform imply full acceptance of these terms. If you do not agree, please do not use the service.
1. Definitions
- Platform or ZonaCNC: the marketplace operated at https://www.zonacnc.com by VELETA COMERCIALIZACIONES Y SERVICIOS, S.L.U.
- VELETA: VELETA COMERCIALIZACIONES Y SERVICIOS, S.L.U., Tax ID B87534855, registered address at Calle Lima 44, 5ºB — 28945 Fuenlabrada (Madrid).
- Seller: an individual or legal entity acting professionally and publishing listings on the Platform.
- Buyer: an individual or legal entity interested in acquiring a listed good or service.
- User: any person who accesses or uses the Platform.
2. Nature of the service
ZonaCNC is an online intermediation service that allows the publication, search, and contact regarding listings of CNC machinery and industrial equipment.
ZonaCNC is not a party to the purchase or sale, and does not guarantee the truthfulness, condition, availability, or ownership of the listed goods, without prejudice to the controls it voluntarily applies. The transaction and delivery are the sole responsibility of the seller and the buyer.
3. Registration
Registration requires being of legal age, having legal capacity, and providing truthful and up-to-date data. The account is personal and non-transferable. The user must protect their credentials; any activity carried out with them is attributed to the account holder.
4. Account types
- Buyer / registered visitor: free. Access to search and contact with sellers.
- Professional seller: requires proof of professional activity (Tax ID/VAT, company name). Subject to a subscription plan (Free, Starter, Pro, Business, Enterprise) whose economic conditions are listed on the pricing page.
5. Ancillary services
Featured listings, monthly or permanent boost, delegated sales representatives, API access, and premium formats are governed by the specific conditions accessible from the seller's panel.
6. Prices and taxes
Prices advertised by sellers are understood, unless expressly stated otherwise, to be exclusive of VAT and on ex works terms.
The seller is responsible for the tax compliance of each transaction, including VAT, withholdings, and intra-community operations.ZonaCNC invoices its own services (subscriptions and add-ons) with applicable Spanish VAT or intra-community reverse charge when applicable.
7. Payment for ZonaCNC services
Payments are processed through Stripe Payments Europe Ltd. By subscribing, the user authorizes recurring billing; ZonaCNC will notify renewal with 7 days' notice.
8. Cancellation and refunds
Seller subscriptions and add-ons are canceled at the end of the current period. No amounts already accrued are refunded, except in the case of an error attributable to ZonaCNC. Buyers acting as consumers have a 14-day right of withdrawal for premium services contracted directly; this right does not apply once the service has been performed with express consent.
9. Prohibited conduct
The following is prohibited:
- Publishing false, misleading, unlawful, defamatory content, or content that infringes third-party rights.
- Spam, malware, or social engineering.
- Directing traffic outside the Platform in order to evade commissions, controls, or protections.
- Manipulating, decompiling, or reverse engineering the Platform's software.
- Any use that compromises the integrity or security of the service.
10. Moderation
ZonaCNC moderates content through automated mechanisms and human review. It may remove, hide, or require correction of listings when there is evidence of non-compliance. Decisions are communicated to the affected party in compliance with Article 17 of EU Regulation 2022/2065 (DSA) and are subject to appeal under clause 16.
11. Suspension and termination
ZonaCNC may suspend or cancel the account for serious non-compliance, fraud, manifest illegality, or repeated minor non-compliance, subject to prior reasoned notice and a reasonable cure period where possible.
12. Modification of terms
ZonaCNC will notify professional sellers of substantial changes with 15 calendar days' notice. Continued use after the effective date implies acceptance; otherwise, the seller may terminate their account without penalty.
13. Limitation of liability
ZonaCNC is not liable for indirect damages, loss of profits, loss of opportunity, or for the conduct of sellers or buyers. The aggregate liability under a contractual relationship with a user is limited to the amount paid by that user to ZonaCNC in the 12 months prior to the event giving rise to liability. This limitation does not apply to consumers where prohibited by mandatory law, nor in cases of intent or gross negligence.
14. Force majeure
Neither party shall be liable for non-compliance due to causes of force majeure or fortuitous events as per Article 1105 of the Civil Code.
15. User intellectual property
The seller guarantees that they are the owner or have sufficient licensing rights over the uploaded content (photographs, texts, videos, documentation). They grant ZonaCNC a non-exclusive, worldwide, royalty-free, sublicensable license for the maximum legal duration, to reproduce and communicate said content on the Platform and associated channels (search engines, social networks, aggregators).
16. Internal complaint system — P2B exemption
VELETA is considered a micro-enterprise under Recommendation 2003/361/EC and, consequently, is exempt from the obligations of Articles 11 and 12 of EU Regulation 2019/1150 (P2B) regarding the internal complaint system and the appointment of mediators. However, ZonaCNC makes the channel reclamaciones@zonacnc.com available to sellers, with a commitment to provide a reasoned response within 15 calendar days.
17. Dispute resolution with consumers
Consumers can access the European online dispute resolution platform: ec.europa.eu/consumers/odr. Likewise, they may submit the dispute to the National Consumer Arbitration Board or resort to the ordinary courts of their place of residence.
18. Applicable law and jurisdiction
Relationships between professionals are governed by Spanish law and are subject to the Courts and Tribunals of Fuenlabrada (Madrid). Relationships with consumers are governed by the law of the consumer's residence and are subject to the courts of their domicile.
19. Assignment
ZonaCNC may assign its contractual position to third parties in the event of a corporate transaction (merger, absorption, demerger, sale of a business unit), guaranteeing the maintenance of the user's rights.
20. Severability of clauses
The declaration of nullity of any clause shall not affect the validity of the remainder of the contract, which shall be interpreted in a manner closest to the original intent of the parties and in accordance with the applicable legal system.
